Senior Contracts Counsel

General Responsibilities

•Draft, review, and negotiate contracts with clients, suppliers, and strategic partners to ensure that terms and conditions are favorable and comply with current legislation. •Advise different areas of the company on the interpretation and application of contractual clauses to prevent conflicts and ensure compliance with agreements. •Identify and mitigate contractual risks by including protective clauses and thoroughly reviewing documents. •Stay up to date on changes in legislation and case law that may affect the company's contracts to ensure their adequacy and compliance. •Manage the filing and custody of signed contracts to ensure their availability and traceability in case of audits or legal disputes. •Train internal teams on contract drafting and management to strengthen the organization's legal and contractual competencies. •Ensures execution of all key controls within established procedures and within approved delegation of authority and authorized limits. Responds to and reviews all escalations or deviations that may be brought to his or her attention. Reports any exceptions to established internal controls and documents any employee. 

 

Performs duties through methods and actions that are consistently ethical and in total compliance with the laws, applicable regulations, Code of Ethics, corporate policies and guidelines and rules of conduct. Completes corporate trainings and certifications intended for the detection and prevention of money laundering related activities and fraud, insider training and conflict of interest policies and procedures, as applicable.

 

Education and Experience Required

•Bachelor's degree (B.A.) and a Juris Doctor's Degree (JD) accredited law school. •Ten (10) years or more of related experience is required. 

 

Knowledge and Skills Required

•Ability to identify, implement, and monitor essential financial controls, including SOX controls. Ensures the mitigation of significant risks through robust and efficient procedures, regularly evaluating their effectiveness to guarantee the accuracy and reliability of financial information. •Ability to create and maintain clear and accurate documentation on systems and/or required information. Organize information in a structured way for different audiences, using different tools to develop manuals, user guides, reports, and technical specifications, facilitating knowledge transfer. •Ability to ensure that projects comply with established policies •Ability to identify, assess, and prioritize potential risks, followed by the implementation of strategies to minimize their impact. This includes identifying potential risks, analyzing them qualitatively and quantitatively, planning responses (such as avoiding, mitigating, or accepting risks), and ongoing monitoring. •Ability to identify relevant resources, conduct research, evaluate information, and apply logical reasoning to make informed decisions.

Available to work extended hours, weekends and/or holidays as needed and the availability to travel as required supporting projects in the region. 

 

 

The employee must meet the following requirements in order to participate in the recruitment process:
