General Responsibilities

Acts as legal advisor for various area of the Corporation in order toguarantee compliance with State and Federal regulations. Assess andrecommends corporate actions regarding contract management, businesstransactions, company policies, investigations. • Determine and assess corporate actions complying with applicable laws thru the study of Constitution, statutes, decisions, and ordinances of quasi-judicial bodies among other, to determine whether corporate actions comply with applicable law. • Interprets laws, rulings, and regulations for corporation. • Reviews claims to provide recommended course of action. • Examines legal data to determine advisability of defending or prosecuting lawsuit. • Supervises outside counsel on general matters referred by the corporation. • Advises corporation concerning business transactions involving internal affairs, stockholders, directors, officers and corporate relations with general public. • Review business contracts and administers other legal matters. • Revision, creation and/or development of company policies. • Attends general consultations from all corporate units. • Prepares and reviews corporate documents and contracts for the corporations and its board of directors. • Represents corporation before regulatory agencies, legislature and other governmental bodies. • Advises management on general matters such as internal investigations, proposed laws and regulations, mergers and acquisitions, and risk management. • Manages relationship with outside counsel, including review of firm's qualifications, execution of service contract and review of firm's invoices. • Represent Evertec in court litigation and/or legal proceedings. • Carries out supervisory responsibilities in accordance with the organization's policies and applicable laws, including but not limited to interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems 

 

Performs duties through methods and actions that are consistently ethical and in total compliance with the laws, applicable regulations, Code of Ethics, corporate policies and guidelines and rules of conduct. Completes corporate trainings and certifications intended for the detection and prevention of money laundering related activities and fraud, insider training and conflict of interest policies and procedures, as applicable.

 

Education and Experience Required

A completed degree from an accredited institution is required, with a Bachelor's degree in Accounting, Finance, Management, Economy, Computer Science, or Engineering, and a Juris Doctor completed. Certified Notary Five to ten years of experience with state and federal labor laws, contracts, corporate policies, and corporate governance are required for a Senior position. Knowledge and experience in acquisitions and global joint ventures, contract management, technical acumen, strong knowledge of corporate governance matters, BOD matters, and regional and international law and regulations are also required.

Monday to Friday 9:00am-6:00pm 

Available to work extended hours, weekends and/or holidays as needed and the availability to travel as required supporting projects in the region.
